401(k) Blackout  August 18, 2003

With the shareholders' approval of the Airborne/DHL merger and the separation of ABX Air into an independent company, the new ABX Air CAP/401(k) plan will be activated August 15, 2003. Assets from the Airborne CAP/401(k) plan will be transferred August 15 after the close of the U.S. investment markets into the new ABX Air CAP/401(k) plan.

On Monday Aug. 18, 2003, a one-day blackout period will occur. You will not be able to access your account information or make changes during the blackout. This one-day blackout will allow Fidelity Investments and ABX to complete an audit of the transfer. Because the assets will be transferred "in-kind" (except for the MIP II fund) your 401(k) investment will remain fully invested during the blackout.

It is expected your account in the new ABX Air CAP/401(k) plan will be available for all regular services including changes and account balance information on Tuesday, Aug. 19, 2003. You can access your account at www.401k.com or by calling (800) 835-5095.
